You represent that you have all rights, permissions, notices, and consents necessary to submit User Content to the Services and to allow the Company to process it as described in these Terms and the Company privacy policy.
You are responsible for backing up your User Content unless a written Order expressly states that backup services are included. The Company is not responsible for loss of User Content except to the extent caused by the Company’s willful misconduct or as required by applicable law.

12. Subscriptions, Renewals, and Cancellation
If you purchase a subscription, membership, recurring SaaS plan, or other recurring payment Service, your subscription will renew automatically at the frequency and price disclosed at checkout or in the Order unless you cancel before the renewal date.
Before obtaining your billing information for a recurring plan, the Company should disclose the recurring charge, renewal frequency, cancellation method, and any trial to paid conversion terms clearly and conspicuously. You consent to the recurring charges by completing the purchase.
You may cancel a recurring subscription through the cancellation method provided in your account, checkout confirmation, support channel, or Order. For online subscriptions, the Company will provide an online cancellation method where required by applicable law.
Cancellation stops future charges but does not automatically refund amounts already paid unless the Order, a written refund policy, or applicable law requires a refund.
The Company may change subscription prices or material renewal terms by providing notice as required by applicable law. If you do not agree to the change, you must cancel before the change takes effect.
13. Refund Policy
Unless the applicable Order or written refund policy states otherwise, all fees are non refundable to the maximum extent allowed by law.

- Failure to use the Services.
- Lack of business results.

Your use of third party services may be governed by their own terms, policies, fees, and availability. The Company is not responsible for third party services, outages, data practices, security, pricing changes, policy changes, or decisions by third party providers.
If a third party service changes, suspends, limits, or terminates functionality, the Company may modify the affected Services and is not liable for resulting loss unless required by applicable law.

The Company may offer beta, preview, experimental, or early access features. These features may be incomplete, unstable, unavailable, or changed without notice.

The receiving party must use confidential information only to perform or receive the Services and must protect it with reasonable care. The receiving party may disclose confidential information to employees, contractors, advisors, or service providers who need to know it and are bound by confidentiality obligations.
Confidential information does not include information that is publicly available, already known without obligation, independently developed, or lawfully received from a third party.
21. Termination
The Company may suspend or terminate your access to the Services if:
- You fail to pay amounts due.

- Your use creates legal, security, reputational, operational, or financial risk.
- The Company is required to do so by law or a third party provider.
- The applicable access period ends.
You may stop using the Services at any time. Stopping use does not cancel payment obligations or recurring subscriptions unless you complete the required cancellation process.
Upon termination, your right to access the Services ends. Sections intended to survive termination will continue, including payment obligations, intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law.
22. Disclaimers
To the maximum extent allowed by law, the Services are provided as is and as available. The Company disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non infringement, accuracy, availability, uninterrupted operation, and error free performance.
The Company does not warrant that the Services will meet your requirements, achieve any result, operate without interruption, be secure from all threats, be free of errors, or that any content or output will be accurate, complete, current, or reliable.
Some jurisdictions do not allow certain warranty disclaimers, so some disclaimers may not apply to you.
23. Limitation of Liability
To the maximum extent allowed by law, the Company and its owners, officers, employees, contractors, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, lost profits, lost revenue, lost business, lost data, loss of goodwill, business interruption, cost of substitute services, or damages arising from your use of or inability to use the Services.
To the maximum extent allowed by law, the Company’s total liability for all claims arising out of or related to the Services, these Terms, or any Order will not exceed the greater of:
- The amount you paid to the Company for the specific Service giving rise to the claim during the three months before the event giving rise to liability.

The limitations in this section apply regardless of the legal theory and even if a remedy fails its essential purpose.
Some jurisdictions do not allow certain liability limitations, so some limitations may not apply to you.
24. Indemnification
You agree to defend, indemnify, and hold harmless the Company and its owners, officers, employees, contractors, affiliates, licensors, and service providers from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
- Your use of the Services.
- Your User Content.
- Your business, products, services, advertising, customer relationships, or implementation.
- Your violation of these Terms, an Order, law, or third party rights.
- Your misuse of AI output, templates, prompts, strategies, or generated content.
The Company may control the defense of any matter subject to indemnification, and you agree to cooperate with the defense.
25. Dispute Resolution, Arbitration, Class Action Waiver, and Jury Trial Waiver
Please read this section carefully. It affects your legal rights.
Before either party starts arbitration or a court proceeding, the party must first send a written notice describing the dispute and proposed resolution. The parties will attempt in good faith to resolve the dispute informally for thirty days.
If the dispute is not resolved informally, any dispute, claim, or controversy arising out of or relating to these Terms, an Order, or the Services will be resolved by binding individual arbitration under the Federal Arbitration Act and the rules of the American Arbitration Association, unless an exception in this section applies.
The arbitration will be conducted in English. The seat and venue of arbitration will be Albuquerque, New Mexico, unless the parties agree otherwise or the arbitration provider requires a different consumer venue under applicable rules. The arbitrator may award the same individual relief that a court could award, subject to these Terms.
Neither party may bring claims as a plaintiff or class member in any class, collective, consolidated, representative, mass, or private attorney general action, to the maximum extent allowed by law. The arbitrator may not consolidate claims or preside over any class, collective, representative, or mass proceeding unless both parties agree in writing.
Either party may bring an individual claim in small claims court if the claim qualifies. Either party may seek temporary or preliminary injunctive relief in court to protect intellectual property, confidential information, data security, or unauthorized access.
To the maximum extent allowed by law, each party waives the right to a jury trial for any dispute not subject to arbitration.
If this arbitration or class action waiver section is found unenforceable in whole or in part, the unenforceable part will be severed, and the remaining parts will remain in effect unless the law requires otherwise.
26. Governing Law and Venue
These Terms and any dispute arising out of or related to them are governed by the laws of the State of New Mexico and applicable United States federal law, without regard to conflict of law rules.
For disputes not subject to arbitration, the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Bernalillo County, New Mexico, unless applicable law requires a different venue.
27. Changes to These Terms
The Company may update these Terms from time to time. The updated version will be posted with a new Last Updated date. If changes are material, the Company will provide notice as required by applicable law.
Your continued use of the Services after updated Terms become effective means you accept the updated Terms. If you do not agree, you must stop using the Services and cancel any recurring subscription.
28. Electronic Communications and E Sign Consent
You agree to receive communications electronically, including notices, agreements, receipts, invoices, disclosures, and updates. Electronic communications satisfy any legal requirement that such communications be in writing, to the extent allowed by law.
You agree that clicking a button, checking a box, signing electronically, submitting an Order, creating an account, or continuing to use the Services may constitute your electronic signature and acceptance.
29. Force Majeure
The Company is not liable for delay or failure to perform due to events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, government actions, internet failures, hosting failures, cyberattacks, third party service failures, payment processor failures, power outages, illness, or other events beyond reasonable control.
30. Assignment
You may not assign or transfer these Terms or any rights or obligations without the Company’s prior written consent. The Company may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, change of control, or transfer to an affiliate.
31. Severability
If any provision of these Terms is found invalid or unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
32. No Waiver
The Company’s failure to enforce any provision is not a waiver of its right to enforce that provision later. A waiver must be in writing and signed by the Company.
33. Entire Agreement
These Terms, the applicable Order, and any policies incorporated by reference form the entire agreement between you and the Company regarding the Services and replace all prior or contemporaneous understandings regarding the Services.
